Rezumat

The specific of limited partnerships consists in the association of two categories of members: general partners, who manage the organization, based on their personal features and limited partners, who give money to be used in commercial affairs. The constituent document of the limited partnership is the constituent contract, which has an intuitu personae character, the association of persons being based on personal features of the members.
